Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Simba & Good website, the Seasons mobile application, Shop for Good, and related services and experiences (together, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree with them, please do not use the Services.

Simba & Good is currently in the process of being incorporated in Singapore. Once incorporated, these Terms will be updated with the full legal entity details.

About Simba & Good

Simba & Good is a pet-focused company building products, services, content, commerce, and experiences designed to help people live better lives with their pets.

Seasons

Seasons is Simba & Good's consumer pet application. Depending on the features available, Seasons may help you create pet profiles, organise pet information, understand your pet's life stage, receive reminders, access pet-care information, and receive personalised recommendations and content.

Shop for Good

Shop for Good is Simba & Good's commerce offering through which users may discover and purchase pet-related products and services. Products may be sold or fulfilled by Simba & Good or by third-party partners.

For Brands

For Brands is Simba & Good's agency offering for pet brands and other businesses. It may include strategy, creative, content, campaigns, partnerships, activations, and other marketing services.

Business and agency engagements may be governed by separate proposals, statements of work, contracts, or other commercial agreements.

Using the Services

You must use the Services lawfully and in accordance with these Terms. You are responsible for the information you provide and for your use of the Services.

Your account

Some features of Seasons may require an account. You agree to provide reasonably accurate information and to keep your account information up to date.

You are responsible for keeping your account credentials secure and should notify us if you believe your account has been accessed without authorisation.

Your pet's information

Seasons allows you to create and maintain information about your pet, including information such as breed, age, weight, health, diet, medications, allergies, vaccinations, behaviour, and care.

You are responsible for ensuring that important information you provide is reasonably accurate and up to date.

Seasons provides general informational and educational guidance and is not a
      veterinary service. It does not provide veterinary diagnosis, treatment,
      prescriptions, or emergency veterinary care.
      Always consult a qualified veterinarian about your pet's health.
      If your pet is experiencing an emergency or serious symptoms, contact a
      veterinarian or emergency veterinary service immediately.

Artificial intelligence

Some Seasons features may use artificial intelligence, machine learning, or automated systems to provide recommendations, summaries, explanations, reminders, or other content.

AI-generated information can contain errors and may not account for your pet's complete circumstances. You should independently evaluate important information and seek professional advice where appropriate.

Subscriptions and billing

Paid Seasons plans may be offered as auto-renewing subscriptions through Apple's App Store.
Payment is charged through your Apple account using Apple's payment system.
Simba & Good does not receive or store your full payment card details for App Store purchases.
Subscriptions renew automatically unless cancelled in accordance with Apple's applicable subscription terms.
You can manage or cancel your subscription through your Apple account settings.
Where a free trial is offered, any unused portion of the trial may be forfeited when you purchase a subscription, subject to applicable law and Apple's terms.
Prices may change. Where required, we will provide notice of material price changes.

Our giving commitment

 Your subscription is not a donation.
You are purchasing access to the Services. Simba & Good may commit a portion
      of its own revenue to animal welfare and related causes, as described in our
      published welfare plans or communications.
      Amounts you pay for Seasons or other Services are not charitable donations made
      by you and are not represented as tax-deductible donations to you.

Partner offers

We may show optional, clearly labelled offers, products, or recommendations from partner brands.

Partner offers may be relevant to your pet's species, breed, age, life stage, interests, or other information you provide.

We may receive compensation or other commercial benefit from participating partners. Where applicable, we will identify commercial or sponsored relationships clearly.

Any purchase or transaction you enter into with a partner is between you and that partner unless Simba & Good is expressly identified as the seller.

Shop for Good

Shop for Good may allow you to purchase products from Simba & Good or third-party sellers.

Product information, pricing, availability, delivery, returns, and seller information may be provided on the relevant product or checkout page.

We make reasonable efforts to keep product information accurate, but we do not guarantee that descriptions, images, prices, availability, or delivery estimates will always be accurate or current.

Orders

Placing an order constitutes a request to purchase the relevant product. An order confirmation does not necessarily mean that the order has been accepted.

We may cancel or reject an order where reasonably necessary, including where a product is unavailable, there is a pricing or listing error, payment cannot be processed, fraud is suspected, or fulfilment is not possible.

Returns and refunds

Returns and refunds are subject to the applicable product, seller, and consumer-protection rules. Nothing in these Terms limits any consumer rights that cannot legally be excluded.

Acceptable use

You agree not to:

Use the Services for unlawful purposes.
Attempt to gain unauthorised access to the Services or another user's account.
Interfere with or disrupt the Services.
Circumvent security or access controls.
Upload malicious code or harmful material.
Scrape or systematically collect information from the Services.
Reverse engineer the Services except where permitted by law.
Copy or commercially exploit the Services without our permission.
Impersonate another person or organisation.
Infringe another person's intellectual-property rights.
Abuse, harass, threaten, or harm other users or our team.

User content

You may provide content through the Services, including pet photos, pet information, reviews, feedback, comments, and other material ("User Content").

You retain ownership of your User Content.

By submitting User Content, you grant Simba & Good a non-exclusive, worldwide licence to host, store, reproduce, process, and display that content only to the extent reasonably necessary to provide and operate the Services.

Reviews and feedback

If you submit a review, testimonial, or feedback, you agree that it is truthful and does not infringe another person's rights.

You grant Simba & Good permission to use feedback you provide to improve our Services. Where we use reviews or testimonials publicly, we will do so in accordance with applicable law.

Intellectual property

The Services and their content, including Simba & Good and Seasons branding, logos, designs, software, interfaces, graphics, illustrations, text, features, and original content, belong to Simba & Good or our licensors.

Except as expressly permitted by these Terms or applicable law, you may not reproduce, modify, distribute, sell, licence, or commercially exploit our intellectual property without our prior written permission.

For Brands

For Brands is an agency service rather than a self-service software platform.

Specific engagements with brand or business clients may be governed by separate proposals, statements of work, contracts, or other commercial agreements.

Where a separate written agreement exists between Simba & Good and a business client, that agreement will govern the relevant commercial engagement to the extent of any inconsistency with these Terms.

Third-party services

The Services may integrate with or link to third-party products and services. Third-party services may have their own terms and privacy policies.

We are not responsible for the availability, security, content, privacy practices, or accuracy of third-party services.

Service availability

We will make reasonable efforts to keep the Services available, but we do not guarantee that they will always be available, uninterrupted, secure, error-free, or free from bugs.

Services may be temporarily unavailable because of maintenance, updates, technical problems, security incidents, third-party failures, or circumstances outside our reasonable control.

Changes to the Services

We may add, modify, suspend, or discontinue features, products, content, or functionality from time to time.

Where appropriate, we will provide reasonable notice of material changes.

Termination

You may stop using the Services at any time.

We may suspend or terminate access where reasonably necessary, including if you materially breach these Terms, use the Services unlawfully, engage in fraud or abuse, create a security risk, or where we are required to do so by law.

Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

We do not guarantee that information will always be accurate or complete, recommendations will always be appropriate, AI-generated content will always be accurate, products will always be available, or the Services will always be uninterrupted or error-free.

Limitation of liability

To the maximum extent permitted by applicable law, Simba & Good will not be liable for indirect, incidental, special, consequential, or punitive losses arising from your use of, or inability to use, the Services.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

Pet health responsibility

You remain responsible for decisions concerning your pet's health, wellbeing, and safety. Simba & Good does not guarantee any particular health, behavioural, or other outcome for your pet.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Simba & Good and its officers, employees, contractors, and service providers against claims, losses, liabilities, and expenses arising from your material breach of these Terms, unlawful use of the Services, infringement of another person's rights, User Content, or misuse of the Services.

Privacy

Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, disclose, store, and protect personal information.

Changes to these Terms

We may update these Terms from time to time as our Services develop or applicable laws change.

We will post the updated version on this page and update the "Last updated" date above. Where appropriate, we may also notify you through the Services or by email.

Governing law

These Terms are governed by the laws of Singapore. Subject to any mandatory rights or remedies available to you under applicable law, the courts of Singapore will have jurisdiction over disputes arising from or relating to these Terms or the Services.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified or removed to the minimum extent necessary. The remaining provisions will continue in effect.

No waiver

If we do not immediately enforce a provision of these Terms, this does not mean that we waive our right to enforce it later.

Entire agreement

These Terms, together with our Privacy Policy and any additional terms applicable to particular Services, constitute the agreement between you and Simba & Good regarding your use of the Services.
